Quantum Meruit Maxim

Quantum meruit is a legal principle that allows a party to recover the reasonable value of services rendered when no formal contract exists, or when a contract is unenforceable. It essentially ensures that a party is compensated for their work or contributions in absence of a clear agreement.

The term originates from common law, where it has its roots in the Roman law principle of 'exceptio doli', which allowed for recovery in the absence of a formal contract. Its usage in English law has evolved to account for various non-contractual obligations.

In modern law, quantum meruit is often used in cases involving unjust enrichment where one party benefits at the expense of another without a formal agreement. Courts may award quantum meruit damages when a party seeks compensation for services performed or benefits conferred, in scenarios like failed contract negotiations or incomplete projects.

• A contractor begins work on a construction project based on an oral agreement but is later terminated before completion; the contractor may claim quantum meruit for the services rendered up until termination.
• An individual helps a friend prepare a business proposal, and though the friend ultimately leaves the partnership, the individual may recover a quantum meruit for the time and effort invested.
