Article 2 — Sales · Section 2-503
This section addresses the buyer's obligation to accept goods and the seller's requirement to deliver goods in a sales contract under the Uniform Commercial Code.
Source: U.C.C. § 2-503
The seller must tender delivery of the goods that conform to the contract at a reasonable hour and at a commercial place. If the seller is a merchant, the goods must be held at the seller's place of business or another location reasonably nearby, and the buyer is deemed to have accepted the goods when the buyer has had a reasonable opportunity to inspect them.
UCC § 2-503 outlines the seller's duty to deliver goods to the buyer and details the process by which the buyer is deemed to accept those goods. The seller must provide goods that match the contract terms, and once the buyer has had a reasonable chance to inspect them, they are considered accepted.
The act of the seller making the goods available to the buyer as per the terms of the contract.
The buyer's action or indication that they have taken ownership of the goods, signifying agreement with the terms of the contract.
Example 1
A seller ships goods to the buyer's specified location; upon arrival, the buyer inspects the goods and finds them to be in compliance with the contract terms, thus accepting them.
Example 2
A seller shows up at the buyer's business to deliver goods during business hours. The buyer inspects the goods and decides to keep them after finding them satisfactory.
