UCC § 2-601 states: 'The buyer may reject the whole if the goods or the tender of delivery fail in any respect to conform to the contract. The buyer may accept the whole or he may accept any commercial unit or units and reject the rest.'
UCC § 2-601 allows a buyer to reject a full delivery of goods if they do not meet the contract specifications. However, the buyer can choose to accept part of the delivery while rejecting the rest, depending on whether the goods conform to the agreement.
To meet the specifications or requirements outlined in the sales contract.
An act of the buyer indicating that they agree to the goods delivered.
A unit of goods that is treated as a single whole for purposes of sale, which can be accepted or rejected in entirety.
Example 1
A buyer orders 100 blue widgets. If the seller delivers 100 red widgets instead, the buyer can reject the entire shipment.
Example 2
A buyer receives a shipment of 50 laptops, but 5 are defective. The buyer may choose to accept the 45 good laptops and reject the defective 5.
